TERMS AND CONDITIONS OF PURCHASE

General: These Terms and Conditions are hereby incorporated in and form a part of the Purchase Order (PO) to which they are attached. These Terms and Conditions shall govern the purchase of products or the provision of services as contained in the PO.

Buyer is the company issuing the PO and procuring the Deliverables.

Deliverables means the supply of products, materials, equipment, article, maintenance, construction or other services or work stated in the PO.

Delivery Date means the scheduled date for the delivery of the deliverables, and/or satisfactory completion of services.

Delivery means that time is of the essence in the performance of the PO by Seller and Seller shall perform all work in strict adherence with the Delivery Dates or the attached implementation schedule, as the case may be.

Seller means any person or entity to which the PO is addressed which shall be responsible for supplying the deliverables.

Seller shall ensure the Buyer’s Purchase Order Number is contained in the Seller’s Invoice.

Specifications

The Deliverables delivered or completed by Seller or Buyer shall comply strictly with Buyer’s specifications and/or scope of services as stated in the PO or as attached to the PO. In the absence of such specifications and in all cases other than the supply of services, the deliverables shall meet the manufacturers prevailing published specifications. The deliverables shall be free from any faults and defects, failing which Buyer may reject any such deliverables without any liability whatsoever to Seller or Seller shall at Buyer’s request, replace, repair or make good any short supply, defective items or items not meeting the stated specifications, at Seller’s own cost. This PO is non-exclusive and does not commit buyer to purchase any minimum quantity of deliverables.
