Mergers are like marriages. The right partner must be selected after an honest and meaningful courtship. There must be communication, flexibility, and mutual respect. Combining merged cultures requires a focus on one new vision and one new mission, developed by a cross-section team of representatives from both organizations (Scacco,2008). Problems typically occur when the larger or stronger of the two organizations try significantly to influence the integration. The key to an organization’s success is open, frequent and honest communication among all stakeholders and taking a discipline- approach to problem solving (De Janasz, Dowd & Schneider, 2002). InterClean is a major player in the sanitation scene, whose future profitability hinges on fulfilling emerging needs of stringent requirements for environmental safety. InterClean CEO and senior leadership team has developed an aggressive strategy to acquire EnviroTech, a major domestic competitor in the corporate market. With the acquisition, InterClean has taken a giant step in achieving domestic market dominance in the sanitation industry (University, 2010).

This paper will review the issues, problems, opportunities, challenges, and consequences that InterClean encounters as a result of their expedite decision to acquire EviroTech, one of their major domestic competitors in the corporate market (Hoch, Guenther & Kunreuther, 2001). This paper will use a gap analysis to identify the gap between InterClean's current situation and its end state vision. Further, the benchmarking research will indentify alternative solutions, opportunities, risk, and an optimal solution for InterClean's issues.
