Re: Code of Business Conduct for Proset

To All Employees of Proset:

Proset's Code of Business Conduct is a guide for every Company Director, and Employee in applying legal and ethical practices to their everyday work. The Code describes not only our standards of integrity but also some of the specific principles and areas of the law that are most likely to affect Proset's business.

While the Code is designed to address ethical and legal issues of various scopes, there may be instances where you have a question regarding a certain situation. If that occurs, you should contact the COBC Manager or our company attorney.

Conducting our business with ethics and integrity is a key priority for Proset. In following our Code of Business Conduct, Proset can not in any way accept, condone or tolerate any instance of unethical or illegal behavior. Your adherence to the Company's Code of Business Conduct is mandatory.

Proset's COBC includes the following:

• High Ethical Business Practices

• Conflicts of Interest

• Improper Payments

• Internal Accounting and Controls

• Bribery

• International Business Relationships

• US Export Compliance

• Use of Confidential or Proprietary information

• Antitrust and Competition Laws

• Fraud

Every employee will be required to complete our COBC training that will detail each of the categories above. Each employee will receive a email detailing the online course. Once completed you will receive a certificate of completion. Participation is madatory.

Proset's employees remain the Company's greatest asset. We appreciate the support, dedication and hard work each of you contribute.
