Miscellaneous Torts and other Considerations Impacting Business

I have discovered a large space at the Alexander Keith Brewery Building in downtown Halifax is for lease. It is an impressive space on the second level with a large patio overlooking the waterfront area of downtown Halifax. The space is both theatrical and full of urban character and history. My goal is to be able to offer Halifax one of the most unique night life experiences. With grey smoked mirrors and black-tiled floors, and two shiny black grand pianos, ‘Keys Please’ will be the city’s only piano bar and it is my aim to see that cocktail concertos become very well known in our area. The business is forecasted to become one of the trendiest, most relaxing, ambiance-filled night spots in the Maritime Provinces.

Of course, immediately upon beginning to launch a new business, such as this piano lounge, there are many consideration I have had to make that are of a legal nature. Before my new business opens, I need to take a closer look at the basic laws as they pertain to running this type of business in Halifax. Furthermore, there are multiple legal principles that a person will encounter as they embark upon a new enterprise. Not only is exploration of the aforementioned important, but also, that the legality of terms associated with running one’s own company be examined. Some of these terms include; occupiers liability, nuisance, defamation, conspiracy and restrictive trade practices and employment law.

Firstly, if I want to establish a business in Nova Scotia I need to decide how it will be set up, legally. That is, will I be the sole owner of my business, will it be a partnership or will it be a corporation complete with shareholders. I would like for it to be solely owned by myself.
