Executive Employment

1. DEFINITIONS AND INTERPRETATIONS

1.1 Definitions

In this Agreement unless the context otherwise requires:

“company name” means company’s full name and ACN

"Business" means the business of the Company;

"Board" means the board of directors of the Company;

“Capacity” means the capacity referred to in Item 3 of the Schedule;

"Complying Superannuation Fund" means a superannuation fund which is a complying superannuation fund as defined in section 267 of the Income Tax Assessment Act 1936;

"Corporations Act" means the Corporations Act 2001 (Cth);

“Employee Incentive Option Plan” means the Employee Incentive Option Plan a copy of which is attached as Annexure A;

"Exchange" means the Australian Stock Exchange Limited, and the term “ASX” has the same meaning;

“Financial Year” means any twelve (12) month period commencing on 1 July and ending on 30 June;

"Listing Rules" means the Official Listing Rules of the Exchange;

“Options” means the options details of which are more fully set out in Clause 7.1;

"Option Conditions" means the conditions as set out in the Employee Incentive Option Plan;

"Occupation" shall include any public or private work which in the opinion of the Board may hinder or otherwise interfere with the performance by the Employee of the Employee’s duties under this Agreement;

"Products" means any product of a type which on the date of termination of this Agreement is manufactured or marketed or both by the Company or any of its Subsidiaries in relation to the manufacture or marketing or both of which the Employee has obtained knowledge of trade secrets or other confidential information of the Company;

"Prohibited Area" means Australia and any Territory of Australia;

“Purchaser” means a Subsidiary of the Company (to be determined at the sole discretion of the Company);

"Remuneration" means the amount set out in Clauses 6.1 and 8.1;
