Abstract: Based on the analysis of the difference from traditional competitive enterprises, according to the network economy, natural monopoly, externality, public goods attributes and public welfare characteristics of PNU, this paper believes that the government, shareholders and other enterprise within the network organization, consumers are stakeholders of PNU, and consumers are pivotal. The governance objective of such enterprises should be to coordinate interests of all stakeholders, and protecting consumer interests is the primary goal of governance. The governance mechanism has the following characteristics: the government regulation entrusted with corporate social responsibility is an important part of the external corporate governance mechanism, playing a leading role in coordinating interests of stakeholders; regulators participate in the corporate governance; its control right is not fully distributed in accordance with equity capital ratio; the board of directors regards safeguarding interests of stakeholders as the basic principle of governance; the establishment of incentive mechanism concerns non-performance indicators.
