Business Entitles, laws, and Regulations

This paper will discuss the scenarios of business for each entity .We will discuss and identify the laws and regulations that each portion of a company should consider before starting a business .we will show the risk each business have to protect itself from as well the employment laws, and the regulations that will be constructed in these scenario’s.

Lou and Jose are planning to go into the bar business. They are going to open a sports bar and restaurant. In the planning stage they want to hang large flat screen TV’s throughout the bar for customers who come to visit so they can enjoy themselves. Lou and Jose need an investor because they do not have much money to invest so they have Miriam. An investor who is looking for businesses to invest in that can put money in her pocket while someone run the business Lou and José have the exact opportunity that Miriam is looking for some where to invest his money not his time.

In this case the best business decision would be limited partnership .we selected it because Lou and José wants to be involved with the bar and Miriam just wants to be a silent partner. A general partnership all owners are involved and required to be an active participant in the day to day activity of the business. Miriam does not want this part of the deal .limited partnership is the best direction for the trio to take because it gives Lou and José the general partner static they are looking for in the business and giving Miriam the limited static he is seeking in the partnership.

All this will mean is that Lou and José will run the business aspect as general partners. They will be responsible for all the debt that is incurred in running the business. Miriam on the other hand, will be a limited partner and will not have any of the debt that incurred while running the business. To establish the...
