WHERE AS the Parties here wish to enter into business in partnership as Motor Mechanics from

offices situated at No. ….. Harare, Zimbabwe. NOW THEREFORE THESE PRESENT WITNESS THAT

1. NAME The Partnership shall trade under the name of VEHICLE DIAGNOSTICS CLINIC(ZIMBABWE) and it shall operate from offices at No 1745 Samora Machel Harare Zimbabwe, or from any other premises which the partnership may subsequently acquire whether inside or outside Zimbabwe. 2. PARTNERSHIP BUSINESS The Partnership shall carry on the business of Motor Mechanics Diagnostics 3. DURATION The Partnership shall commence on 1 August 2013 and it shall continue for an indefinite period unless and until cancelled by a written agreement signed by all partners. 4. CAPITAL CONTRIBUTION 4.1 Each Partner shall contribute to the capital of the firm a sum proportionate to his interest as provided in Clause 5.1 below. 4.2 The contribution shall either be in the form of cash or assets such as but not limited to office equipment, office furniture, professional library, computer equipment and software or motor vehicles. 4.3 It is agreed that any assets introduced as contribution shall be of a quality, state and type useful for the partnership business and at such values as may be agreed by the Partners failing which at such values (not being replacement values) as may be determined by an appropriate valuer as agreed by the Partners. 4.4 Provided where at the date of commencement one or both Partners have not raised their full capital contribution, the entire balance of the contribution shall be raised by the...
