Report of the Board of Directors

The Directors of Dialog Telekom PLC (“the Company”) hereby submit their Report and the Audited Consolidated Financial Statements of the Company and its subsidiaries (collectively referred to as “the Group”) for the financial year ended 31 December 2009. prepared in conformity with the requirements of the Sri Lanka Accounting Standards, the Companies Act No. 7 of 2007 and the Listing Rules of the CSE.

GENERAL

The Company was incorporated on 27 August 1993 as a private limited liability company and subsequently converted to a public limited liability company on 26 May 2005. The issued shares of the Company were listed on the Colombo Stock Exchange (“CSE”) on 28 July 2005 and the Company is one of the largest listed companies on the CSE in terms of market capitalisation. Pursuant to the requirements of the Companies Act No. 7 of 2007, the Company was re-registered on 19 July 2007.

AUDITORS’ REPORT

The Auditors’ Report on the Financial Statements is given on page 59.

ACCOUNTING POLICIES

The accounting policies adopted in the preparation of the Financial Statements are given on pages 65 to 74. There have been no changes in the accounting policies adopted in the previous year for the Company and the Group.

PRINCIPAL ACTIVITIES

The principal activities of the Company include the provision of mobile telephony services and external gateway operations. The principal activities of the subsidiaries, Dialog Broadband Network (Private) Limited and Dialog Television (Private) Limited, mainly comprise of the provision of internet services, fixed wireless, transmission and Infrastructure services, television broadcasting and media related services.
