The problems of the company are;

1) Grayson has been failed to change.

2) Lost of market share and profit.

3) Old people at Grayson are doing routine jobs, and no longer creative.

4) Boards have different opinions.

5) Incapable managers were promoted.

Causes

1) Old people at Grayson do not need to change.

2) The company has no clear direction to focus on.

3) Old CEO did not have future vision.

What Tom should do are the steps below;

First, since the three board members have different ideas how to improve the company, making the impossible way for Tom to do his job. Tom should arrange the conference between Tom and all three boards together at the same time, asking all three about the different opinions that they gave to Tom. Tom have to tell them about Tom’s opinion also, then have them decide only one final approach which all of them agree and need Tom to follow, in order to develop the company in the same way. Making sure that all three board members are in the same page.

Second,

 Establishing new policies, procedures, and structures of the company. Including, establishing new performance appraisal evaluation to use in evaluate all managers.

 Putting all managers into the refresher and ABC management course to refresh and gain their knowledge about how to manage effectively.

Third,

 Tom should meeting with HR manager, asking HR manager to work with him and follow his plan. Making sure that HR manager understands the new plan. If HR manager could not do the job, then fire HR manager or rotate HR manager to another job/position.

 To be clear with the new policies, procedures, and structures of the company, Tom has to arrange meeting with all of the managers. Making all of the managers clear and understand the situation of the company, including what things that managers should do to improve and bring back the company.
