INTERNATIONAL BUSINESS LAW

COURSE OUTLINE

The course provides an introduction to the legal rules and aspects of the principal international business transactions from the perspective of the international businessman. After a comparison of Canada’s two legal systems (civil law system and common law system), the following transactions will be analyzed: international sale of goods (including transportation, insurance and instruments of payment), international sales through foreign intermediaries (i.e. sales agents and independent distributors), international licensing of intellectual property (i.e. patent, trademark, copyright) and international joint ventures. The course will also deal with export and import controls, customs and export insurance. Transactions not considered include: leasing, sale of services, and foreign direct investment.

The course will be held on Tuesday evenings from 6:00 p.m. to 9:00 p.m. Maitre Beck does not hold regular office hours at the University. He is available after class and can be reached through his law firm:

Course requirements

1. Reading: readings and course materials corresponding to topics on a current basis;

2. Term Paper: a term paper, which may be written in English or French, will be assigned about half-way through the course; and

3. A 2- or 3-hour final closed book examination which may be written in English or French will be held during exam week.

Final grade

Final grade will be determined on the basis of:

Term paper - 45%

Final exam - 55%
