Partnership Agreement

1A LIMITED PATNERSHIP AGREEMENT

THIS LIMITED PARTNERSHIP AGREEMENT dated the 30th day of September, 2011 between Andrew Smith ( “General Partner”), Bevan Brown, Rebecca Brown and Robert Jones (‘Limited Partners”) hereafter referred to as the “Partners” whereby the partners agree to commence in business as Alpine Adventure Tourism business under the following terms:-

1. Formation.

The head office of the Partnership will be based in Queensland. The Partnership may have such additional offices as and when the partners may deem necessary or advisable. The Partnership’s core objective is to offer tourism services to Visitors who visit New Zealand for leisure or business purposes. Services include accommodation, tours and adventure activities to its clientele.

2. Term.

The Partnership shall begin on the 31st of October, 2011 date of the filing referred and shall remain in full force until 20th of September, 2012, unless the Partnership is terminated sooner in accordance with the stipulations of this Partnership Agreement.

3. Capital Contributions.

In tandem with the implementation and delivery of this Partnership Agreement, each Initial Partner has contributed the Partner's Capital Contribution in full, and in cash.
