DUE DILIGENCE DEPOSIT AGREEMENT

Enclosed is a deposit of $6,500.00 to be used by Hallock Capital to perform the due diligence necessary to approve or decline the above referenced loan request. Said due diligence includes, but is not limited to legal fees, environmental reports, credit reports, title reports and an appraisal(not included) or appraisal review of the subject property to be utilized as security for this loan. I understand that this deposit does not guarantee that the loan will be approved. I understand that if the loan closes this deposit will be credited towards closing costs. I also understand that if the loan does not close due to Hallock Capital’s declination of the request, the deposit, less out-of-pocket expenses, shall be refunded to me. I agree that if I decline to accept Hallock Capital’s offer to fund a loan, which may be equal to or lower than the requested loan amount, any credit due me from the due diligence deposit will be forfeited. I understand that any information which I have provided to you will be promptly returned to me upon my request; however, I understand that you are not obligated to release any information from the loan file that was not provided by me unless previously arranged to in writing. I also understand that some of the above mentioned costs may exceed my initial deposit, and that I promise to pay those additional expenses, if any. I understand that you will sell this loan to one or more investors after my loan closes. I give you permission to provide this Application, and any other material you deem relevant, to any potential investor or lender, their agents’ and any of their affiliates.
