HARLEQUIN THEATRE GUILD MEMORANDUM OF AGREEMENT This Memorandum of Agreement is made and entered into the City of Manila, Philippines by and between: Glam Nails & Skin Spa a company registered in accordance with the law of the Republic of the Philippines, with postal address at 810 Castro St. Malate, Manila represented by Ms. Jing Lais, Proprietor, herein referred to as the FIRST PARTY. and HARLEQUIN THEATRE GUILD, an accredited performing arts group of DLSU-Manila Culture and Arts Office with the office address Room 404 Bro. Connon Hall, 2401 Taft Avenue, Malate, Manila represented by Ms. Norielle Louise R. Ramos, Company Manager, herein referred to as the SECOND PARTY, witnesseth that: The FIRST PARTY agrees to be a VIP PARTNER for the FIRST PARTY’s productions for the academic year 2013-2014: DuLa Salle 2k13: Silang Mga Walang Pangalan, The Sky Over Dimas, and Fish Hair Woman of which are included as the productions referred to in this agreement.

A. The FIRST PARTY shall give the SECOND PARTY: 1. Assurance that every VIP Cardholder is entitled to: i. 10% discount on Manicure and Pedicure ii. 10% discount on Body Massages iii. 10% discount on Foot Spas iv. 10% discount on Body Scrubs v. 5% discount on Ear Canoling B. In return, the SECOND PARTY will provide and undertake the following: 1. Billing of FIRST PARTY as VIP PARTNER 2. Placement of FIRST PARTY’s logos on SECOND PARTY’s: i. Souvenir Program ii. Sponsorship Video

This Agreement shall hold true for the duration of this project. Failure to comply with the conditions in this agreement from Harlequin Theatre Guild is the personal liability of the officers of the group. On the part of the VIP Partner, failure to provide the agreed product shall mean forfeiture of all the benefits stated in this agreement.
