Please review and approve the attached public notice regarding Mr. Shady’s resignation. There are several significant issues we need to review prior to submitting the notice to ensure we are sufficiently prepared to handle incoming questions and reactions.

• As we are publicly traded, we have several requirements that we must follow to satisfy the SEC’s requirements

o We must post a public notice regarding the immediate resignation of Mr. Shady

o There is quite a bit of documentation we need to pull and deliver to the SEC’s head investigator. We will need to give them our time frame for delivery.

• It’s vital that we provide as much information to the public as possible and be as forthcoming as we are able without providing any proprietary information. Our customers and potential clients need to see that we are being open and honest about the changes within the company. They will need to feel that we are being transparent and authentic.

• Our stakeholders are the backbone of our company. We need to give them enough information regarding the investigation and transition to ensure that they are comfortable with our level of involvement. The SEC investigation will cause a lot of negative scrutiny on the company and we will need to pledge our full disclosure and cooperation. They are looking to us to see how we are reacting to the news so we need to show strength and stability. Our trust in the company shows trust in our ability to work through this difficult time.

• I do anticipate a lot of undesirable examination on the company. It is highly important that we release the press release as soon as possible. If we are forthcoming with our concerns and show that we anticipate favorable decisions from the SEC we will be able to retain favorable opinion not only from the public and our customers, but also with our...
